Terms & Conditions

1. Acceptance of Terms

By accessing or using the CommonLogic.ai website, engaging our consulting services, or using the Aido product (together, the "Services"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Services.

2. Services Provided

CommonLogic.ai provides enterprise AI consulting and implementation services — including multi-agent workflow design, Microsoft ecosystem integration, AI strategy, and implementation support — together with Aido, a SaaS product for AI-assisted product and business-analyst workflows. The specific scope, deliverables, and fees for any consulting engagement are set out in a separate signed statement of work or order form, which takes precedence over these Terms in the event of a conflict.

3. User Responsibilities

You agree to use the Services only for lawful business purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You must not use the Services to violate any applicable law, infringe any third party's rights, or interfere with the security or integrity of the Services.

4. Subscription and Payment

Access to Aido requires an active subscription. Subscription fees are billed in advance on a recurring basis according to the plan you select, and — unless otherwise stated in a signed order form — are non-refundable. You are responsible for all applicable taxes. Consulting engagements are billed according to the payment terms set out in the applicable statement of work.

5. License Grant

Subject to your compliance with these Terms, CommonLogic.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use Aido and any deliverables provided under a consulting engagement for your internal business purposes. This license does not include the right to resell, sublicense, or reverse-engineer any part of the Services.

6. Intellectual Property

All content, software, trademarks, and materials that make up the Services — including Aido and our POINT delivery methodology — are the property of CommonLogic.ai or our licensors and are protected by applicable intellectual property laws. Deliverables produced specifically for you under a signed statement of work are governed by the ownership terms in that agreement.

7. Confidentiality

In the course of a consulting engagement, CommonLogic.ai may have access to confidential business information, and — for Microsoft ecosystem integrations — may operate within your Azure or Microsoft 365 tenant. We treat that information as confidential, use it only to deliver the Services, and do not disclose it to third parties except as required to perform the engagement or as required by law.

8. Termination

We reserve the right to suspend or terminate your access to the Services, at our discretion, if we reasonably believe you have violated these Terms. Either party may terminate a consulting engagement in accordance with the termination provisions in the applicable statement of work.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the fullest extent permitted by law, CommonLogic.ai disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that output from AI agents or models will be accurate or complete — output from the Services should be reviewed by a qualified person before being relied on for business-critical decisions.

10. Limitation of Liability

To the fullest extent permitted by law, CommonLogic.ai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Services. Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid us in the twelve months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles, and any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Illinois.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
